You could use a Win98 boot floppy and format C: from there.
If you don't have one you can get one at www.bootdisk.com

2 questions
1. Did you boot up into a Win98 floppy?
2. Is your filing system NTFS?

Sounds strange. Maybe your Win98 boot floppy has a corrupt format.com file.
Does Partition Magic have an option to format a drive?

Try what Halflifer suggests. Change the boot order in your BIOS to boot to CD as first option, and boot into the XP CD
You should be able to wipe it out from there.
Jon has done this a few time, worth a try.
I gotta run, my fav tv shows are on in a couple of minutes.

Every time Ive formatted my Win2k or XP machines, its been that way. Works PERFECTLY every time and its flawless.

Partition magic does have a format option. But, if you can boot to your XP CD, do that (like HL said).
Make sure your first boot device in BIOS is CD (or floppy for Norm's suggestion).
Restart / begin setting up XP/ an eventual choice will be delete partition (choose the proper one)*/ then choose to install xp on that empty space, it'll format for you and continue to install.
*Don't delete the partitions that you want to keep.
edit Darn it... I'm not a fast enough typist, Y'all beat me to it
